MEMBERSHIP POLICIES

BILLING

Section A — Fees

This Billing Policy governs the fees associated with membership in OpenMic Perform Pro, LLC (“OpenMic,” “we,” “our,” or “us”) and applies to all Members subject to the Membership Agreement and incorporated Policies.

 

A.1 Induction Fees

OpenMic may require a one-time Induction Fee as a condition of initial membership enrollment. The Induction Fee:

  • Is due at the time of enrollment
     

  • Is non-refundable except as required by applicable law or expressly stated in writing
     

  • Covers onboarding, administrative processing, and initial access provisioning
     

Payment of the Induction Fee does not guarantee selection, engagement, employment, representation, or participation in any specific program, opportunity, or project.

 

A.2 Recurring Membership Fees

Membership may be subject to a recurring Membership Fee, billed on a monthly, annual, or other periodic basis as specified at the time of enrollment or renewal.

Recurring Membership Fees:

  • Are billed in advance for the applicable billing period
     

  • Continue automatically unless cancelled in accordance with this Billing Policy
     

  • Apply regardless of a Member’s level of participation or use of membership benefits
     

 

A.3 Taxes and Government Charges

Membership fees are exclusive of applicable taxes, levies, duties, or similar governmental assessments, unless otherwise stated. Where required by law, OpenMic may collect and remit applicable taxes and display such amounts at checkout or on billing statements.

 

A.4 Fee Disclosure

The applicable Induction Fee, recurring Membership Fee, billing frequency, and any material fee terms will be disclosed to the Member prior to payment through enrollment materials, checkout screens, or account information.

By submitting payment, the Member authorizes OpenMic to charge the disclosed fees in accordance with this Billing Policy.

 

A.5 No Offset or Deduction

Membership fees are payable in full without setoff, deduction, or withholding, except as required by applicable law.

 

Section B — Billing Mechanics

B.1 Automatic Renewals

Unless otherwise stated at the time of enrollment, membership fees are charged on an automatic recurring basis corresponding to the selected billing period (e.g., monthly or annual).

By enrolling and providing a payment method, the Member authorizes OpenMic Perform Pro, LLC (“OpenMic,” “we,” “our,” or “us”) to automatically charge the applicable recurring Membership Fees until the membership is cancelled in accordance with this Billing Policy.

 

B.2 Accepted Payment Methods

OpenMic accepts payment through one or more third-party payment processors, which may include credit cards, debit cards, digital wallets, or other payment methods made available from time to time.

Members must maintain a valid, current payment method on file. OpenMic may update payment method information using account updater services provided by payment processors, where permitted.

OpenMic does not store full payment card numbers or sensitive financial credentials.

 

B.3 Billing Authorization

By submitting payment information, the Member represents and warrants that:

  • They are authorized to use the selected payment method
     

  • All billing information provided is accurate and current
     

  • OpenMic is authorized to charge the payment method for applicable fees, taxes, and charges in accordance with this Policy
     

 

B.4 Failed Payments and Retry Attempts

If a payment fails for any reason, OpenMic may:

  • Retry the charge using automated retry logic
     

  • Notify the Member of the failed payment
     

  • Temporarily suspend access to membership features or benefits
     

OpenMic is not responsible for fees charged by a Member’s financial institution or payment provider due to failed or declined payments.

 

B.5 Suspension for Non-Payment

If payment is not successfully completed within a reasonable period after a failed attempt, OpenMic may suspend or terminate the Member’s access to the membership, platforms, or services, without waiving the obligation to pay amounts owed.

 

B.6 Billing Errors

Members must promptly review billing statements and notify OpenMic of any suspected billing errors through the designated contact method. Failure to notify OpenMic within a reasonable time may result in waiver of the right to dispute the charge, to the extent permitted by law.

 

B.7 Third-Party Processor Terms

Payment processing services are provided by third-party processors and are subject to their respective terms, conditions, and privacy practices. OpenMic is not responsible for errors, outages, or interruptions caused by third-party payment processors.

 

Section C — Cancellation

C.1 How to Cancel

A Member may cancel their membership at any time by using the cancellation method made available by OpenMic Perform Pro, LLC (“OpenMic,” “we,” “our,” or “us”), which may include:

  • An online account or member portal, if available
     

  • A designated cancellation form or workflow
     

  • Written notice submitted through the contact method specified by OpenMic
     

Cancellation requests submitted through methods not designated by OpenMic may not be processed.

 

C.2 Effective Date of Cancellation

Unless otherwise stated at the time of cancellation:

  • Cancellation becomes effective at the end of the current billing period
     

  • The Member retains access to membership benefits through the end of the paid billing period
     

  • No prorated refunds or credits are provided for any unused portion of the billing period
     

 

C.3 No Refund Policy

Except as required by applicable law or expressly stated in writing by OpenMic:

  • All fees are non-refundable, including Induction Fees and recurring Membership Fees
     

  • No refunds or credits are issued for partial billing periods, unused access, or lack of participation
     

  • Termination or suspension of membership for violation of policies does not entitle the Member to a refund
     

 

C.4 Effect of Cancellation on Obligations

Cancellation of membership:

  • Ends future billing obligations after the effective cancellation date
     

  • Does not relieve the Member of responsibility for fees incurred prior to cancellation
     

  • Does not affect any rights, licenses, or obligations that survive termination under the Membership Agreement
     

 

C.5 Failed or Incomplete Cancellation

Members are responsible for completing the cancellation process in full. Failure to complete all required steps may result in continued billing until cancellation is properly processed.

OpenMic is not responsible for continued charges resulting from incomplete or improperly submitted cancellation requests.

 

C.6 Special Promotions, Trials, or Discounts

Where a membership is subject to a free trial, promotional pricing, or discounted rate:

  • Cancellation must occur before the end of the applicable trial or promotional period to avoid charges
     

  • Additional terms governing such promotions may apply and will be disclosed at the time of enrollment
     

 

Section D — Changes to Fees and Billing Terms

D.1 Right to Modify Fees and Billing Structure

OpenMic Perform Pro, LLC (“OpenMic,” “we,” “our,” or “us”) reserves the right to modify membership fees, billing frequency, pricing tiers, or billing-related terms at any time, subject to providing reasonable notice to Members as required by applicable law.

Such changes may include, without limitation:

  • Adjustments to Induction Fees or recurring Membership Fees
     

  • Introduction of new pricing tiers, plans, or features
     

  • Changes to billing cycles (e.g., monthly, annual)
     

  • Modifications to promotional, trial, or discount offerings
     

 

D.2 Notice of Changes

OpenMic will provide reasonable notice of material billing changes through one or more of the following methods:

  • Email to the Member’s registered contact address
     

  • Account or dashboard notifications
     

  • Checkout, renewal, or billing interfaces
     

Changes will apply prospectively and will not affect fees already paid for a current billing period, except as required or permitted by applicable law.

 

D.3 Continued Membership Constitutes Acceptance

Unless otherwise required by law, a Member’s continued participation in the membership after the effective date of a billing change constitutes acceptance of the updated fees or billing terms.

If a Member does not agree to a billing change, the Member may cancel the membership in accordance with this Billing Policy prior to the effective date of the change.

 

D.4 Optional Grandfathering

At its sole discretion, OpenMic may elect to grandfather certain Members under prior pricing or billing terms for a limited time or indefinitely. Any such grandfathering:

  • Is not guaranteed
     

  • May be conditioned on continuous, uninterrupted membership
     

  • May be revoked if the Member changes plans, upgrades, downgrades, or allows membership to lapse
     

 

D.5 Promotions, Upgrades, and Downgrades

OpenMic may offer promotions, discounts, free trials, upgrades, or downgrades from time to time, subject to additional terms disclosed at the time of offer.

Changes between plans or tiers may result in:

  • Immediate or deferred billing adjustments
     

  • Proration or non-proration, as determined by OpenMic or the payment processor
     

  • Loss of access to features associated with a prior tier
     

 

Section E — Chargebacks and Payment Disputes

E.1 Chargeback Initiation

Members agree to contact OpenMic Perform Pro, LLC (“OpenMic,” “we,” “our,” or “us”) directly to attempt to resolve any billing questions or disputes before initiating a chargeback, payment reversal, or dispute with a financial institution or payment processor.

 

E.2 Consequences of Chargebacks

Initiating a chargeback or payment dispute may result in one or more of the following actions, at OpenMic’s discretion:

  • Immediate suspension or restriction of membership access
     

  • Termination of membership
     

  • Revocation of access to programs, events, tiers, or gated communities
     

  • Ineligibility for future membership, promotions, or participation
     

Such actions may be taken regardless of the outcome of the chargeback.

 

E.3 Chargeback Fees and Recovery

Where permitted by law, the Member is responsible for any fees, penalties, or administrative costs incurred by OpenMic as a result of a chargeback or payment dispute initiated by the Member.

OpenMic may charge such amounts to the payment method on file or pursue other lawful means of recovery.

 

E.4 Disputed Charges Not a Substitute for Cancellation

Chargebacks are not a valid method of cancellation. Initiating a chargeback does not cancel a membership or relieve the Member of responsibility for fees incurred in accordance with this Billing Policy and the Membership Agreement.

 

E.5 Fraudulent or Abusive Activity

OpenMic reserves the right to treat repeated, bad-faith, or fraudulent chargebacks as a violation of the Membership Agreement and incorporated Policies, which may result in permanent account termination and additional remedies to the fullest extent permitted by law.

 

E.6 Third-Party Processor Rules

Chargebacks and payment disputes are subject to the rules and procedures of the applicable payment processor and financial institution. OpenMic makes no representations regarding the outcome or timing of such disputes.
