
MEMBERSHIP POLICES
COMMUNITY GUIDELINES
Section A — Prohibited Conduct
OpenMic Perform Pro, LLC (“OpenMic,” “we,” “our,” or “us”) is committed to maintaining a professional, respectful, and safe environment across its membership platforms, community spaces, events, and related activities. The following conduct is prohibited in connection with a Member’s participation in the OpenMic membership, whether occurring on OpenMic-operated platforms or in connection with OpenMic-related activities.
A.1 Harassment, Hate, and Threatening Conduct
Members may not engage in conduct that is abusive, harassing, threatening, intimidating, discriminatory, or hateful, including:

Harassment or targeted abuse toward individuals or groups

Hate speech or conduct based on protected characteristics

Threats of violence, harm, or retaliation

Persistent unwanted contact or coercive behavior
Professional disagreement or critique is permitted; personal attacks or hostile conduct are not.
A.2 Fraud, Spam, Scams, and Impersonation
Members may not engage in deceptive or disruptive practices, including:

Spam, solicitation, or unsolicited promotional activity

Scams, fraud, or misrepresentation of intent or identity
-
Impersonation of OpenMic, OpenMic personnel, other Members, or third parties
-
Use of the platform to mislead others for personal or financial gain
A.3 Intellectual Property Infringement
Members may not post, share, distribute, or use content that infringes or misappropriates the intellectual property rights of others, including:

Copyrighted works shared without authorization

Trademarks, logos, or branding used in a misleading or unauthorized manner
-
Distribution of pirated, confidential, or proprietary materials
Members are responsible for ensuring that they have the necessary rights, permissions, or licenses for any content they share.
A.4 Disclosure of Confidential or Restricted Information
Members may not disclose, misuse, or improperly access:

OpenMic confidential or non-public information
-
Confidential information of other Members, partners, or collaborators
-
Pre-release, internal, or restricted materials accessed through membership
This includes information protected under the Membership Agreement, Confidentiality Policy, or any separate nondisclosure obligations.
A.5 Platform Abuse, Circumvention, or Interference
Members may not interfere with or misuse OpenMic platforms, systems, or tools, including:

Attempting to bypass security, access controls, or usage limitations

Reverse engineering, scraping, or unauthorized data extraction
-
Introducing malware, bots, or harmful code
-
Exploiting bugs, vulnerabilities, or system weaknesses
-
Using the platform in a manner that disrupts normal operation or community experience
A.6 Misuse of Access or Membership Status
Members may not:

Share account access or credentials without authorization

Use membership status to imply endorsement, representation, or affiliation beyond what is expressly permitted
-
Engage in conduct that materially undermines the integrity, safety, or professional standards of the OpenMic community
A.7 Applicability Across Platforms and Activities
Prohibited conduct applies across all OpenMic-operated environments, including but not limited to forums, portals, messaging systems, events, productions, live or virtual gatherings, and any tools or technologies adopted in the future. Conduct occurring off-platform may be considered where it has a direct and material connection to OpenMic, its Members, or its operations.
Section B — Content Standards
OpenMic Perform Pro, LLC (“OpenMic,” “we,” “our,” or “us”) permits Members to share content in connection with the membership in a manner that supports professional collaboration, creative exchange, and respectful community engagement. The following standards govern what content may and may not be posted or shared through OpenMic platforms and activities.
B.1 Content That May Be Shared
Subject to the Membership Agreement and incorporated Policies, Members may share content that is:

Relevant to creative, professional, or educational discussion

Respectful, constructive, and professional in tone
-
Lawful and consistent with applicable intellectual property rights
-
Voluntarily submitted by the Member with appropriate rights or permissions
-
Appropriate for the context, audience, and setting in which it is shared
Creative expression, critique, and discussion are encouraged when conducted in a professional and respectful manner.
B.2 Content That May Not Be Shared
Members may not post, upload, transmit, or otherwise share content that:

Violates the Prohibited Conduct provisions of these Community Guidelines

Is unlawful, fraudulent, or deceptive
-
Infringes or misappropriates intellectual property or proprietary rights
-
Contains hate speech, harassment, threats, or abusive language
-
Discloses confidential, private, or restricted information without authorization
-
Includes malicious code, spam, or automated messaging intended to disrupt the platform
-
Is misleading as to source, affiliation, endorsement, or intent
B.3 Professional and Respectful Conduct
Content must reflect a baseline standard of professional conduct appropriate for a creative and collaborative environment. This includes:

Respecting differing viewpoints and backgrounds
-
Avoiding personal attacks, inflammatory language, or hostile escalation
-
Engaging in good-faith discussion and critique
OpenMic does not require Members to agree with one another, but does require interactions to remain respectful and professional.
B.4 Context, Format, and Visibility
Content standards apply regardless of format or medium, including text, images, audio, video, links, or other materials. Standards also apply across different visibility levels, including public, member-only, gated, or private spaces.
Members are responsible for understanding the visibility and audience of the spaces in which they choose to share content.
B.5 Discretionary Review and Moderation
OpenMic may, but is not obligated to, review, moderate, remove, restrict, or take other action with respect to content that it determines, in its reasonable discretion, violates these Community Guidelines, the Membership Agreement, or other incorporated Policies.
The absence of enforcement in one instance does not waive OpenMic’s right to enforce these standards in other instances.
B.6 Future Communication Methods and Tools
These content standards apply to current and future communication methods, tools, and technologies adopted by OpenMic, including automated systems, AI-assisted moderation tools, and evolving platform features, provided such application remains consistent with applicable law and OpenMic’s policies.
Section C — Enforcement Authority
OpenMic Perform Pro, LLC (“OpenMic,” “we,” “our,” or “us”) retains the right to enforce these Community Guidelines in a manner it determines appropriate to protect the integrity, safety, and professional standards of the membership and OpenMic-related activities.
C.1 Discretionary Enforcement
Enforcement of these Community Guidelines is undertaken at OpenMic’s discretion. OpenMic may take action in response to conduct or content that it reasonably determines violates these Guidelines, the Membership Agreement, or any incorporated Policy.
OpenMic is not obligated to monitor all activity, review all content, or take action in every instance of a potential violation.
C.2 Available Enforcement Actions
Depending on the nature, severity, or frequency of the conduct or content at issue, OpenMic may take one or more of the following actions, with or without prior notice:

Removal, restriction, or modification of content

Temporary or permanent limitations on account features or access
-
Suspension of membership privileges
-
Termination of membership
-
Restriction or revocation of access to specific programs, events, tiers, or gated communities
Enforcement actions may be applied progressively or immediately, as OpenMic deems appropriate.
C.3 No Obligation to Provide Warning or Explanation
OpenMic is not required to provide advance notice, warning, or explanation prior to taking enforcement action, particularly where OpenMic determines that immediate action is necessary to address safety, legal, operational, or reputational concerns.
C.4 No Waiver
Failure to enforce these Community Guidelines in any particular instance does not constitute a waiver of OpenMic’s right to enforce these Guidelines or other Policies in the future.
C.5 Relationship to Other Agreements and Policies
Enforcement actions taken under these Community Guidelines are independent of, and in addition to, any rights or remedies available to OpenMic under the Membership Agreement, incorporated Policies, or applicable law.
Nothing in these Community Guidelines limits OpenMic’s right to pursue other remedies, including termination of membership or legal action, where appropriate.
C.6 Tiered Communities and Access Control
OpenMic may apply enforcement actions differently across tiers, programs, or gated communities based on the nature of the access granted, the sensitivity of the environment, or the requirements of specific initiatives, provided such actions remain consistent with the Membership Agreement and applicable law.
Section D — Reporting Mechanisms
OpenMic Perform Pro, LLC (“OpenMic,” “we,” “our,” or “us”) provides Members with mechanisms to report conduct or content that may violate these Community Guidelines, the Membership Agreement, or other incorporated Policies.
D.1 How Members May Report Concerns
Members may report suspected violations through the reporting channels designated by OpenMic from time to time, which may include:

Platform-based reporting tools

Direct communication with OpenMic through designated support or contact methods

Event-specific reporting procedures, where applicable
Reports should include sufficient detail to allow OpenMic to understand the nature of the concern, such as relevant content, user identifiers, dates, or contextual information.
D.2 Review and Response
Upon receiving a report, OpenMic may review the information provided and determine, in its reasonable discretion, whether any action is warranted. OpenMic may request additional information or clarification where appropriate.
OpenMic does not guarantee a response, resolution, or specific outcome in connection with any report.
D.3 No Obligation to Act
OpenMic has the right, but not the obligation, to investigate, moderate, or take enforcement action in response to any report or information received. Decisions regarding enforcement, timing, and scope of action are made at OpenMic’s discretion.
D.4 Good-Faith Reporting
Members are expected to submit reports in good faith. Reports made for the purpose of harassment, retaliation, or abuse of the reporting process may themselves constitute a violation of these Community Guidelines.
D.5 Confidentiality and Anonymity
OpenMic may, but is not obligated to, maintain the confidentiality of reporting Members to the extent reasonably practicable. OpenMic cannot guarantee anonymity or confidentiality in all circumstances, including where disclosure is required by law or necessary to investigate or address a reported issue.
D.6 Automated and Proactive Monitoring
OpenMic may use automated systems, analytics, or AI-assisted tools to detect, flag, or assess potential violations of these Community Guidelines. Such tools may supplement, but do not replace, human judgment and discretionary enforcement.
